Koç Holding Implements Management Changes The organizational changes at Koç Holding were announced through a disclosure to the Public Disclosure Platform. In the announcement, it was stated that as of the Ordinary General Assembly Meeting on 1 April 2022, Koç Holding Chief Financial Officer Ahmet Ashaboğlu, Automotive Group Head Cenk Çimen, Tourism, Food and Retail Group Head Tamer Haşimoğlu and Corporate Communications and External Relations Director Oya Ünlü Kızıl will step down from their positions due to retirement. It was announced that Polat Şen, Assistant General Manager of Finance and Financial Affairs at Arçelik A.Ş., will assume the position of Koç Holding Chief Financial Officer, and Özgür Burak Akkol, Head of Human Resources and Industrial Relations at Koç Holding, will be appointed to the position of Tourism, Food and Retail Group Head. It was announced that Umut Günal, Human Resources Coordinator at Koç Holding, will be appointed as Human Resources Director at Koç Holding to fill the position vacated by Özgür Burak Akkol, while appointments to the Automotive Group Head position vacated by Cenk Çimen and the Corporate Communications and External Relations Director position vacated by Oya Ünlü Kızıl will be announced separately at a later date. Levent Çakıroğlu, Chief Executive Officer of Koç Holding, thanked the departing executives for their efforts, outstanding dedication and commitment to date. In his statement, Levent Çakıroğlu made the following remarks: "Our esteemed colleagues who are retiring have made valuable contributions to the growth and strengthening of our Group through their successful work in the areas for which they have been responsible for many years. As of the General Assembly, Koç Holding Chief Financial Officer Ahmet Ashaboğlu will retire after serving in our Group for 19 years, with the last 16 years as Chief Financial Officer. During this period, he played an important role in many strategic decisions and investments, including the acquisition of Tüpraş and Yapı Kredi by our Group, the sale of Migros and Koç Allianz, the merger of Koçbank and Yapı Kredi, and the acquisition of Unicredit's shares in Yapı Kredi. For a time, he headed the Strategic Planning Group. He implemented many projects, including the establishment and disciplined application of Koç Group risk management principles and the implementation of the zero-based budgeting project across the Koç Group. İsmail Cenk Çimen, who has served as Head of Koç Holding A.Ş. Automotive Group, will also retire as of the General Assembly. Mr. Çimen served in our Group for more than 30 years, having joined as a trainee, completing the last 12 years as Head of the Automotive Group. Mr. Cenk Çimen made critical contributions to the growth and strengthening of our Group in the automotive sector and implemented strategic projects that provided competitive advantage. He played an active role in Ford Otosan's commercial vehicle, truck, engine, R&D and new factory investments, the Otokoç-Birmot merger, the Fiat Egea family investment which contributed significantly to Tofaş's market leadership, light commercial vehicle investments, and the restructuring of Tofaş subsidiaries Fer-Mas and Koç Fiat Kredi. He also realized new product investments at Türk Traktör, entry into the construction machinery field, cooperation and investment projects with Iveco at our Otokar company, the strong recent growth of Otokoç Otomotiv and overseas investments including Avis Greece. Mr. Çimen contributed to the growth of our company Zer outside the Koç Group, particularly in digital media. Tamer Haşimoğlu, who has served as Head of Koç Holding A.Ş. Tourism, Food and Retail Group, will also retire as of the General Assembly. Mr. Tamer Haşimoğlu served in our Group for approximately 33 years, with 7 years as Head of Strategic Planning and 11 years as Head of the Tourism, Food and Retail Group. During this period, he took on important duties and responsibilities in the development of the Group's strategic planning processes. He played an important role in the reassessment and restructuring of Koç Holding's portfolio and strategic business areas and in the strategic acquisition processes that carry our Group into the future, particularly Tüpraş. He also contributed to our Group by implementing the sale processes of Migros and Koç Allianz insurance companies, the renewal of tourism strategies with Divan Group and Setur, the establishment of Inventram and Koç Digital, and the restructuring of Koçtaş, Tat and Düzey. Oya Ünlü Kızıl, who has served as Corporate Communications and External Relations Director of Koç Holding A.Ş., will also retire as of the General Assembly. Ms. Oya Ünlü Kızıl served in our Group for 19 years, with the last 15 years as Corporate Communications and External Relations Director. During this period, she played an important role in the development of corporate reputation and brand management strategies for our Group, crisis management, and the formation of sustainability and ESG policies. She implemented the Vocational High School is a National Issue, For My Country and HeforShe projects, which have won numerous awards at national and global levels. She successfully led our Group's Carbon Transformation Program and Gender Equality projects. During her tenure, she took on important roles in joint projects conducted with many international organizations and made significant contributions to our Group's relationships and cooperation with stakeholders, particularly national and global civil society organizations. Viewing this transition resulting from the completion of service by our executives as a passing of the torch, I extend my thanks to them for their outstanding efforts, dedication and commitment and the valuable services they have rendered. As Koç Group, we continue to work with full vigor in our belief in the future of our country. Together with our colleagues assuming new responsibilities, we will continue our strategic investments resolutely in line with our global growth vision.
