Ownership Structure Changes at Alarko Carrier: Alarko Holding to Acquire Carrier's Shares

The partnership structure at Alarko Carrier, one of the established companies in the air conditioning sector, is set to change. Alarko Holding announced it has agreed to acquire all shares held by US-based Carrier Global in Alarko Carrier, which operates within the Alarko Industrial and Trading Group.
Alarko's stake to increase to 84.06%
Under the process being conducted by mutual agreement, the full transfer of Carrier's shares—representing 42.03% of Alarko Carrier's capital—to Alarko Holding is planned. Upon completion of the transaction, Alarko Holding's shareholding in the company will increase to 84.06%.
With this strategic step, the Alarko Industrial and Trading Group is expected to continue its operations in the air conditioning sector under its own brand and in line with new growth targets.
28-year partnership to end
Alarko Carrier, one of the key pillars of Alarko Holding's air conditioning operations—whose foundations were laid in 1954—has achieved significant success over the past 28 years through its partnership with Carrier.
Following a joint evaluation by both companies and mutual agreement, a strategic decision has been made to terminate the partnership between Alarko and Carrier.
No change in services provided to customers
It was stated that the change in partnership structure is planned in a manner that will not affect the services provided to customers.
Until the process is completed, daily operations, production activities, and sales and service processes for Carrier and Toshiba branded products will be continued by Alarko Carrier.
Following completion of the transaction, the sales and after-sales activities of Carrier and Toshiba brands in the Turkish market are planned to be transferred to a Carrier subsidiary.
Transaction expected to be completed in Q4 2026
Alarko management expressed its gratitude to Carrier for the long-standing business partnership and announced that the share transfer is expected to be completed in the fourth quarter of 2026, subject to fulfilment of customary closing conditions.
With this change, the Alarko Industrial and Trading Group is expected to strengthen its position in the air conditioning sector under its own brand and continue its growth in line with new strategic objectives.
