Sika Acquires Hamatite Adhesives and Sealants Business

Sika has agreed to acquire Hamatite, the adhesive business unit of The Yokohama Rubber Co., Ltd. Hamatite is a market leader in Japan, supplying adhesives and sealant products to the automotive and construction sectors. The acquisition will significantly strengthen Sika's market position in Japan, increase market access to all major Japanese OEMs, and expand its product offering for sealing and bonding applications, particularly in the Japanese construction industry. The Tokyo-based operation generates annual sales of CHF 160 million. The transaction is subject to approval by antitrust authorities. Hamatite is a trusted, well-established supplier with a leading position in the Japanese automotive and construction industries, holding a strong, respected brand. Through its high-quality products and nationwide sales network, it has built long-term relationships with both Japanese automotive OEMs and construction sector customers, positioning itself as a reliable, long-term business partner. The product portfolio comprises various technologies such as polyurethanes, hot melts and modified silicones. The established Hamatite brand is the preferred solution among Japanese OEMs for glazing bonding and hot melt applications. In the construction sector, the main application area is sealing and bonding solutions for exterior facades. Hamatite operates five factories, with its main facility located in Hiratsuka, Japan. Additional production facilities are located in Japan, China, Thailand and the United States.

With the acquisition of Hamatite, Sika's automotive business will immediately benefit from increased market access to all major Japanese OEMs and will significantly increase content per vehicle (CHF sales/vehicle) with these customers globally.

Sika aims to provide seamless business transfer to all valued customers globally, while also expanding and extending its relationship and offerings with global Japanese automakers while operating in other countries. The combined business will present a comprehensive global manufacturing footprint, thereby providing long-term supply chain advantages to all automotive OEMs. In the construction sector, the acquisition will enable Sika to gain market share and become a strong player in the Japanese market. It will also expand Sika's range of adhesive and sealant products meeting the high Japanese building standards. The expanded complementary product range and extended customer network will provide the combined operation with significant cross-selling opportunities. The strengthened manufacturing footprint in Japan will enable the organization to reliably serve its expanding customer base.
